Welcome to Elecfox.

These Terms of Service are entered into between you and Elecfox Technology Co., Limited, doing business as Elecfox ("Elecfox," "we," "us," or "our").

Elecfox operates this store and website, including all related information, content, features, tools, products, and services in order to provide you, the customer, with a curated shopping experience (collectively, the "Services").

Our store is powered by Shopify, which provides the ecommerce infrastructure that enables us to offer the Services to you.

Shipping and delivery times shown on our website are estimates unless expressly stated otherwise.

Actual delivery times may vary due to factors including carrier delays, customs processing, weather, public holidays, supply disruptions, incorrect shipping information, local delivery conditions, or other circumstances outside our reasonable control.

Where required by applicable law, we will notify you of material delays and provide any cancellation, refund, or other remedy to which you are legally entitled.

Unless otherwise required by applicable law, risk of loss or damage to products will pass to you when the products are delivered to you or to a person designated by you to receive them.

All other trademarks appearing through the Services remain the property of their respective owners.

Elecfox is powered by Shopify, which provides technology that enables us to offer the Services.

However, purchases made through our store are transactions directly between you and Elecfox.

Shopify is not the seller of Elecfox products and is not responsible for the manufacture, description, quality, safety, delivery, return, warranty, or performance of products sold by Elecfox.

To the fullest extent permitted by applicable law, Shopify and its affiliates are not responsible for claims, losses, damages, or liabilities arising solely from purchases or transactions between you and Elecfox.

Nothing in this section excludes rights or liabilities that cannot lawfully be excluded.

  8. to upload, transmit, or distribute malicious code, viruses, malware, or other harmful technology;

  10. to interfere with, disable, bypass, or circumvent security, access-control, authentication, or technical protection measures;

  11. to reproduce, duplicate, copy, sell, resell, or commercially exploit portions of the Services except as expressly permitted; or

  12. to interfere with another person's lawful use or enjoyment of the Services.

Automated access, scraping, data extraction, bots, crawlers, AI agents, or similar automated systems may not access or interact with the Services except as permitted under Section 14, permitted through published technical instructions, or authorized by us in writing.

Subject to applicable law, we may suspend or terminate access where we reasonably determine that these Terms have been materially violated.

This section applies where software, artificial intelligence systems, automated services, bots, or autonomous or semi-autonomous systems ("Agents") access or interact with the Services on behalf of a person or organization.

Agents may access the Services only where such access is permitted by our published technical instructions, this section, or our written authorization.

We may request that particular Agents, categories of Agents, or automated systems refrain from accessing all or part of the Services.

We may implement reasonable technical measures to manage, limit, authenticate, or prevent automated access to the Services.

Where technically applicable and reasonably practicable, Agents interacting with the Services must:

  2. not intentionally conceal automated activity by falsely presenting themselves as human users;

  3. not unlawfully circumvent CAPTCHAs, authentication systems, rate limits, access restrictions, robots instructions, or other technical measures designed to manage automated access;

  4. provide truthful responses where the Services explicitly request identification of automated activity; and

  5. comply with applicable technical restrictions and published usage requirements.

Nothing in this section authorizes access that would otherwise violate applicable law, third-party rights, or our technical restrictions.

You may stop using the Services at any time.

Subject to applicable law, we may suspend or terminate access to the Services where we reasonably believe you have materially violated these Terms, engaged in fraudulent or unlawful activity, abused the Services, or created material security or legal risk.

You remain responsible for amounts properly due for transactions completed before termination.

Provisions that by their nature are intended to survive termination will remain in effect, including provisions relating to intellectual property, Feedback, payment obligations, disclaimers, limitations of liability, indemnification, severability, governing law, and dispute resolution.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM WARRANTIES OR CONDITIONS THAT MAY OTHERWISE ARISE BY LAW, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, DURABILITY, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL ALWAYS BE UNINTERRUPTED, SECURE, TIMELY, OR ERROR-FREE.

NOTHING IN THESE TERMS EXCLUDES, RESTRICTS, OR MODIFIES ANY WARRANTY, GUARANTEE, CONDITION, REMEDY, OR OTHER RIGHT THAT CANNOT LAWFULLY BE EXCLUDED, RESTRICTED, OR MODIFIED UNDER APPLICABLE CONSUMER PROTECTION LAW.

Where mandatory law provides you with statutory warranty or product-conformity rights, those rights remain unaffected by these Terms.

SECTION 17 — LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ELECFOX AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO YOUR USE OF THE SERVICES OR PRODUCTS PURCHASED THROUGH THE SERVICES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS OPPORTUNITY, OR LOSS OF DATA, WHERE SUCH DAMAGES MAY LAWFULLY BE EXCLUDED.

Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by applicable law.

In particular, nothing in these Terms is intended to exclude or limit liability for:

  1. fraud or fraudulent misrepresentation;

  2. death or personal injury where liability cannot lawfully be excluded;

  3. mandatory product liability;

  4. deliberate or grossly negligent misconduct where such liability cannot lawfully be excluded; or

  5. any statutory consumer right that cannot lawfully be waived.

Some jurisdictions do not permit certain exclusions or limitations of liability. In such jurisdictions, our liability will be limited only to the maximum extent permitted by applicable law.

SECTION 18 — INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless Elecfox and its affiliates, directors, officers, employees, agents, contractors, licensors, and service providers from third-party claims, liabilities, damages, losses, and reasonable legal expenses arising directly from:

  1. your material breach of these Terms;

  2. your unlawful use of the Services;

  3. your violation of applicable law; or

  4. your infringement of a third party's rights.

This section does not require a consumer to indemnify us for losses caused by our own breach, negligence, unlawful conduct, or conduct for which liability cannot legally be transferred.

Where applicable, we will provide reasonable notice of an indemnifiable third-party claim and reasonable cooperation regarding its defense.

SECTION 19 — SEVERABILITY

If any provision of these Terms is determined by a court or other competent authority to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or, where necessary, severed from these Terms.

The remaining provisions will continue in full force and effect.

Nothing in this section excludes representations, rights, or remedies that cannot lawfully be excluded.

You may not assign or transfer your contractual rights or obligations under these Terms without our prior written consent where such restriction is permitted by applicable law.

We may assign or transfer these Terms or our rights and obligations in connection with a merger, acquisition, corporate restructuring, sale of assets, change of control, or transfer of our business, subject to applicable law.

Nothing in this section restricts statutory consumer rights that cannot lawfully be restricted.

SECTION 22 — GOVERNING LAW AND JURISDICTION

These Terms and any separate agreements through which we provide the Services will be governed by and construed in accordance with the laws of Hong Kong, without regard to conflict-of-law principles, except where mandatory law requires otherwise.

Subject to any mandatory rights available to consumers under applicable law, you and Elecfox Technology Co., Limited agree that disputes arising from or relating to these Terms or the Services may be submitted to the courts of Hong Kong.

If you are a consumer residing in a jurisdiction whose laws provide mandatory rights regarding applicable law, jurisdiction, dispute resolution, or access to local courts, nothing in this section deprives you of those rights.

Changes will not retroactively remove rights that have already arisen under an accepted order where doing so would violate applicable law.
